Terms and Conditions
Ithos Global Inc. Will deliver services described in your agreement with the following terms and conditions:
Intellectual Property Rights
The Customer retains all rights to their proprietary data and information (substances, raw materials, formulas, product, unit sales) supplied by Customer to Ithos for development of the Material. Ithos and Ithos Global, Inc. retain all rights to their respective proprietary software, regulatory compliance data, processes, patents and trade secrets.
Warranty
Ithos represents and warrants that it will perform the development and delivery of the Material with reasonable care and skill and that the Materials will not infringe or violate any intellectual property rights or other right of any third party.
Limitation of Liability
Either party’s liability in contract, tort or otherwise (including negligence) arising directly out of or in connection with the development or delivery of the Material is limited to the price specified on the preceding page for the specific Material. In no event shall either party be liable for any loss of profits, goodwill, loss of business, loss of data or any other indirect or consequential loss or damage whatsoever.
Customer Obligations
This price quoted is based on the timely start and progression of the project. It is anticipated that customer-supplied data will be presented to Ithos and Ithos will help support the collection and organization of data – within four weeks of submitting this order form.
Relationship of the Parties
Ithos and Customer acknowledge and agree that their relationship is as independent parties and does not constitute a partnership, joint venture, agency relationship or otherwise between the parties.
Confidentiality
No party will use, copy, adapt, alter or share any information provided by another party which is disclosed or otherwise comes into its possession in relation to the Material and which is of a confidential nature. This obligation will not apply to information which the recipient can prove was in its possession at the date it was received or obtained or which the recipient obtains from some other person with good legal title to it or which is in or comes into the public domain otherwise than through the default or negligence of the recipient or which is independently developed by or for the recipient.
